We provide digital health monitoring, wellness program management, telehealth coordination, and analytics services to individuals and healthcare providers.

As a company that handles Protected Health Information (PHI), we function as both a covered entity and business associate depending on the context of service delivery, and we comply fully with the Health Insurance Portability and Accountability Act of 1996 (HIPAA) and its implementing regulations.

HIPAA & Protected Health Information

Under HIPAA, certain information you provide constitutes Protected Health Information (PHI). As a HIPAA-covered entity, we are required to maintain the privacy and security of your PHI and to provide you with a Notice of Privacy Practices (NPP).

We use and disclose PHI only as permitted or required by HIPAA, including:

For pediatric care services, a parent or legal guardian must create the account and provide consent on behalf of the child. State-Specific Privacy Rights

California Residents (CCPA/CPRA): California residents have additional rights under the California Consumer Privacy Act and California Privacy Rights Act, including the right to know, delete, correct, and opt out of the "sale" or "sharing" of personal information. We do not sell personal information. Submit California privacy requests at info@healthsphereanalytics.info.

Washington State (My Health MY Data Act): Washington residents have enhanced protections for consumer health data. We comply with all requirements including geofencing prohibitions and consent requirements.

Other States: Residents of Colorado, Connecticut, Virginia, Texas, and other states with comprehensive privacy laws also have rights under those respective laws. We honor all applicable state privacy rights.

Regardless of state, we do not discriminate against individuals who exercise their privacy rights.

Retention & Deletion

We retain personal and health information for as long as necessary to provide our Services, comply with legal obligations, resolve disputes, and enforce our agreements. Specific retention periods include:

• Medical records: Minimum 7 years from date of last service (longer in some states)
• Billing and financial records: 7 years for tax and audit purposes
• Account information: Duration of account plus 3 years after closure
• Marketing preferences and communications: Until opt-out or account deletion

When retention periods expire, we securely delete or de-identify your information using methods compliant with NIST standards.

Changes to This Policy

By creating an account, booking a consultation, accessing our platform, or using any of our Services, you represent that you are at least 18 years of age (or a parent/guardian acting on behalf of a minor), have the legal authority to enter into this agreement, and agree to be bound by these Terms and our Privacy Policy.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent website notice. Your continued use of the Services after such changes constitutes acceptance.

Services Description

Health Sphere Analytics provides a comprehensive digital health and wellness platform offering:

• Personalized wellness analytics, biomarker tracking, and health scoring
• Digital wellness programs including nutrition, fitness, weight management, and mental health
• Telehealth consultations and specialist referrals
• Primary care coordination, dental, dermatology, and hair restoration services
• AI-powered health recommendations and progress monitoring
• Integration with wearable devices and third-party health applications
• Educational wellness content and health coaching

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice. We are not responsible for any loss resulting from such changes.

Medical Disclaimer — IMPORTANT

Always seek the advice of your physician, licensed healthcare provider, or qualified medical professional with any questions you may have regarding a medical condition, symptoms, or treatment. Never disregard professional medical advice or delay seeking it because of information you read or received through our platform.

In the case of a medical emergency, call 911 or go to the nearest emergency room immediately. Our platform is not designed or intended to handle medical emergencies.

The wellness scores, analytics, and recommendations provided by our platform are derived from the data you provide and are intended to support, not replace, professional medical judgment. Individual results may vary.

Our platform is registered with the FDA as a general wellness device where applicable, and we comply with applicable FDA regulations for digital health products. We are not an insurance company and do not provide health insurance services.

Eligibility & Account Requirements

To use our Services, you must:

• Be at least 18 years of age, or 13–17 with verified parental/guardian consent
• Be a resident of or located in the United States
• Provide accurate, complete, and current registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized account access
• Not create more than one personal account

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in prohibited conduct.

Healthcare provider accounts are subject to additional credentialing requirements and agreements. Providers using our platform must hold current, valid licensure in the states where they practice.

Subscriptions, Payments & Refunds

Certain Services are offered on a subscription or fee-for-service basis:

• Subscription Plans: Monthly or annual plans auto-renew unless cancelled at least 24 hours before the renewal date
• Consultation Fees: Billed at the rates displayed at the time of booking; payable in advance
• Program Fees: Disclosed prior to enrollment; some programs include installment payment options
• Insurance Billing: Where applicable, we will bill your insurer; you remain responsible for copays, deductibles, and non-covered services

Cancellation & Refunds: You may cancel a subscription at any time through your account settings. Cancellations take effect at the end of the current billing period; no partial refunds are provided for unused subscription time. Consultation fees are refundable if cancelled at least 24 hours before the scheduled appointment. Program fees are refundable within 7 days of enrollment if no sessions have been accessed. All refund requests must be submitted to info@healthsphereanalytics.info.

All payments are processed through PCI-DSS compliant third-party payment processors. We do not store full payment card details.

User Conduct & Prohibited Uses

You agree not to:

• Provide false, misleading, or inaccurate health information that could affect your care
• Use the platform for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to our systems, other users' accounts, or any part of our infrastructure
• Reverse engineer, scrape, or copy any part of the platform or its content
• Harass, threaten, or harm our staff, providers, or other users
• Share your account credentials with others or allow multiple individuals to use one account
• Upload malicious code, viruses, or any harmful content
• Use our Services to generate content that could harm third parties
• Circumvent any security features, access controls, or usage limits

Violations may result in immediate account suspension and, where appropriate, referral to law enforcement.

Telehealth Services

Where we facilitate telehealth consultations, the following additional terms apply:

• Telehealth services are provided by independently licensed healthcare professionals who are not employees of Health Sphere Analytics
• Availability of telehealth services varies by state based on applicable laws and provider licensure
• You consent to the use of electronic communications for healthcare delivery
• Telehealth is not appropriate for all medical conditions; providers will refer you to in-person care when necessary
• Prescribing is subject to applicable federal and state laws, including the Ryan Haight Act for controlled substances
• You must ensure a private, secure environment for telehealth sessions
• Technical interruptions during consultations do not constitute abandonment; contact us to reschedule if this occurs

Intellectual Property

All content on our platform, including text, graphics, logos, software, analytics algorithms, health scoring models, user interfaces, and documentation, is the exclusive property of Health Sphere Analytics, LLC or its licensors, protected by US and international copyright, trademark, patent, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal health and wellness purposes. This license does not include the right to reproduce, distribute, modify, create derivative works of, publicly display, or commercialize any content.

User-generated content (such as health journal entries and feedback) remains yours; you grant us a limited license to use it to provide and improve the Services. We will never use your health data for commercial advertising without your explicit consent.

Disclaimers & Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HEALTH SPHERE ANALYTICS SHALL NOT BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of health outcomes, medical complications, or clinical results arising from reliance on platform content
• Service interruptions, data loss, or unauthorized access beyond our reasonable control
• Acts or omissions of independent healthcare providers using our platform
• Inaccuracies in wearable device data or third-party integrations

Our total cumulative liability to you for any claims arising under these Terms shall not exceed the greater of (a) the total fees you paid to us in the 12 months preceding the claim, or (b) $100. Some states do not allow limitations on implied warranties or liability exclusions, so some limitations above may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Health Sphere Analytics, LLC and its officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use or misuse of the Services
• Any false or inaccurate information you provide
• Your violation of any third-party rights, including intellectual property or privacy rights
• Your violation of any applicable laws or regulations

Dispute Resolution & Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall first be resolved through good-faith negotiation. If not resolved within 30 days, disputes shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

Arbitration shall take place in New York County, New York (or via video conference), conducted in English, and the arbitrator's award shall be final and binding.

Class Action Waiver: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

Notwithstanding the above, either party may seek emergency injunctive relief in any court of competent jurisdiction to prevent irreparable harm. You also retain the right to bring individual claims in small claims court for disputes within that court's jurisdiction.

Nothing in this section limits your rights under HIPAA or other applicable health privacy laws.

Governing Law & General Provisions

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions, except to the extent superseded by applicable federal law (including HIPAA and the FTC Act).

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement: These Terms, together with our Privacy Policy, Notice of Privacy Practices, and any applicable service agreements, constitute the entire agreement between you and the Company regarding the Services.

Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.

Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
